Terms of Service

Plain summary. Use Whurd lawfully and don't abuse it. Paid plans renew until you cancel. The app is provided "as is," our liability is limited, and either of us can end the agreement. The friendly headings below are summaries; the full text controls.

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Whurd ("Whurd," "we," "us") governing your access to and use of the Whurd desktop application and website (the "Service"). If you use the Service on behalf of an organization, you represent that you have authority to bind it.

2. License to use

Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your personal or internal business use. You may not copy, modify, reverse-engineer, resell, sublicense, or create derivative works from the Service except as permitted by law. We retain all rights, title, and interest in the Service.

Your content. You own the text you dictate and produce. You grant us only the limited rights necessary to operate the Service, namely to transmit your audio and text to our named subprocessors to return transcribed, formatted text to you, as described in the Privacy Policy.

5. Third-party services

The Service relies on third-party subprocessors (Groq for transcription, Anthropic for formatting). Your use is also subject to their acceptable-use policies. We are not responsible for third-party outages, but we will use commercially reasonable efforts to maintain availability.

6. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI transcription and formatting can contain errors; you are responsible for reviewing output before relying on it. We do not warrant that the Service will be uninterrupted, error-free, or perfectly accurate.

7. Limitation of liability

To the maximum extent permitted by law, Whurd will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) USD $100.

8. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your license ends; sections that by their nature should survive (e.g., ownership, disclaimers, liability limits) will survive.

9. Changes to the Service or Terms

We may modify the Service or these Terms. Material changes to the Terms will be announced in-app or by email and reflected in the "last updated" date. Continued use after changes take effect constitutes acceptance.

10. Governing law

These Terms are governed by the laws of [governing-law jurisdiction placeholder], without regard to conflict-of-law principles. The courts located in that jurisdiction will have exclusive jurisdiction over disputes, except where applicable law provides otherwise.
